These bylaws, drafted October 2023 and under continuous revision until May 31, 2025, are a major revision of the existing bylaws (Bylaw No.1) last revised 2008. They reflect changes in club structure and operation as well as Rotary International policies and guidelines. They are based on the required standard club constitution and suggested Bylaws provided by Rotary International, together with the club bylaws (Bylaw No. 1) that they will supersede. Omitted is the text of those sections of the standard RI club constitution that indicate that clubs may create bylaws differing from what is indicated. Our own clauses are included in these sections.
 
This site page includes a scanned version of the letters patent by which the club was incorporated under the laws of the province of Ontario, Canada in 1985. These will be updated by providing The Ontario Business registry with the the "registered address" of the Corporation and by indicating the act, the Not-for-Profit Corporations Act, 2010, S.O. 2010, c. 15 to which the bylaws conform. The Rotary Club of Cataraqui-Kingston is a not-for-profit corporation incorporated in the Province of Ontario, Canada, and a public benefit corporation as defined by the Act.

Details revised include elections and terms of office, duties of officers, meetings (calling, quorum, method of voting; types and nature of meetings--club assemblies, agenda, social, etc.; minutes), and committee mandates.
 
The definitions have been updated to include "special resolution."
 
Notice of motion for the club assembly of June 10 was given May 31 to replace Bylaw No. 1 by Bylaw No. 2. This motion was approved unanimously.
 
When the bylaws are approved by the club, a printed copy will be prepared with date of club approval, details of the process, establishment of quorum, and result of the vote. The printed copy will be signed by the President and Secretary, and kept as the official copy. A pdf version of the official copy will be kept in the Club Documents section of the club ClubRunner account. This site page will continue to be maintained.
 
Note: This introduction, the Letters Patent, and the numbered article and section titles are not part of the bylaws, although the chapter titles and article headings are sometimes used in the bylaws where one article refers to another.
