Definitions
In this bylaw and all other bylaws of the Corporation, unless the context otherwise specifies or requires:
- “Act” means the Not-for-Profit Corporation Act, S.O. 2010, Chapter 15" as from time to time amended and every statute that may be substituted therefore and, in the case of such substitution, any references in the bylaws of the Corporation to provisions of the Act shall be read as references to the substituted provisions therefore in the new statute or statutes;
- “Regulations” means the Regulations made under the Act as from time to time amended and every regulation that may be substituted therefore and, in case of such substitution, any references in the bylaws of the Corporation to provisions of the Regulations shall be read as references to the substituted provisions therefore in the new regulations;
- * “Bylaws ” means the bylaws of this club;
- all terms which are contained in the bylaws of the Corporation and which are defined in the Act or the Regulations made thereunder shall have the meanings given to such terms in the Act or such Regulations;
- words importing the singular number only shall include the plural and vice versa and words importing a specific gender shall include the other genders; and the word “person” shall include bodies corporate, corporations, companies, partnerships, syndicates, trusts, and any number or aggregate of persons;
- the headings used in the bylaws are inserted for reference purposes only and are not to be considered or taken into account in construing the terms or provisions thereof or to be deemed in any way to clarify, modify, or explain the effect of any such terms or provisions;
- * "Board" means the Board of Directors of this club;
- The Corporation shall herein after be referred to as "the club;"
- * "Director" means a director on this club’s Board.
- * "Member" means a member, other than an honorary member, of this club;
- * "RI" means Rotary International;
- * "Satellite club" means a potential club whose members shall also be members (when applicable) of a club.
- * "In writing" means a communication capable of documentation, regardless of the method of transmission; and
- * "Year" means the twelve-month period beginning 1 July;
- "Special resolution" has the meaning it has in the Act, requiring a two-thirds majority of quorum. Quorum at a meeting, as defined in the Act, is a simple majority of those eligible to participate.
